Strategy AI Supplementary Terms of Use

These Strategy AI Supplementary Terms of Use (these “Supplementary Terms”) supplement and/or amend your agreement with Strategy Inc. and/or its affiliates (“Strategy”), including the Strategy Terms of Use (provided at https://www.strategy.com/legal/terms-of-use) (the “Terms of Use”) or other agreement, as applicable, between you and Strategy (the “Agreement”). Any terms used but not defined herein have the same meaning as in the Terms of Use.

These Supplementary Terms apply to your access to, and use of, any artificial intelligence (AI)-powered chatbot service(s), feature(s), or functionality made available by Strategy for use on the Sites, whether accessed from a web browser, mobile application, or by any other means now known or hereafter devised (the “Strategy AI Tools”). In the event of any conflict between these Supplementary Terms and the Agreement, these Supplementary Terms shall control with respect to your use of the Strategy AI Tools. The Strategy AI Tools may be developed by Strategy and/or Strategy’s third-party providers, and are a part of the Sites. These Supplementary Terms only apply to Strategy AI Tools provided by Strategy within the Sites and do not apply to any artificial intelligence, machine learning, or similar technologies provided by third-party websites or services.

1. Use. By using the Strategy AI Tools, you are granted a limited right and license to use the Strategy AI Tools solely in connection with your use of the Sites, and solely in the manner permitted in these Supplementary Terms and the rest of the Agreement. Strategy and its licensors exclusively own all right, title, and interest in and to the Strategy AI Tools, including all associated intellectual property rights. You acknowledge and agree that any software provided in connection with your use of the Strategy AI Tools, including plug-ins or mobile applications, will be considered Software.
2. AI Content. The Strategy AI Tools may allow you to provide text, graphics, or other content to be processed by the Strategy AI Tools (“Input”), and receive output generated and returned by the Strategy AI Tools based on the Input or based on other information contained in Strategy databases (“Output,” and together with the Input, “AI Content”). When you use Strategy AI Tools, as between the parties and to the extent permitted by law, you own AI Content generated by your Input, except to the extent such Output (a) is already in the public domain, (b) is derived from intellectual property owned by Strategy or any third party, or (c) otherwise incorporates pre-existing IP not created by you through use of the Strategy AI Tools. You hereby grant Strategy and its third-party providers a worldwide, non-exclusive perpetual, royalty-free, irrevocable, sublicensable and transferable right to use, reproduce, modify and distribute your AI Content in order to provide you with Strategy’s products and services and to improve and optimize such products and services and Strategy’s underlying technologies. You are solely responsible for the development, content, operation, maintenance, and use of your AI Content, including compliance with applicable laws and the Agreement and you will ensure that your use of the AI Content does not infringe, violate, or misappropriate any of Strategy’s rights or the rights of any third party. You further acknowledge that due to the nature of machine learning and the technology powering Strategy AI Tools, Output may not be unique and Strategy AI Tools may generate the same or similar output to Strategy or a third party. Responses received by other users are not your AI Content.
3. Use of AI Content. AI Content is for information purposes only and is not intended to be a substitute for medical, safety, legal, financial, or other professional advice. AI Content should not be interpreted as a statement by Strategy or reflecting the views of Strategy. Never disregard professional advice or delay in seeking it because of something you have read by using the Strategy AI Tools. You acknowledge and agree that you will not use the Strategy AI Tools or rely on the AI Content as the basis for a decision to purchase or sell any Strategy product or service (including any Software) or any Strategy security and the AI Content does not constitute an offer to sell or solicitation to buy any security. The Strategy AI Tools provide you with content and information gathered from other portions of the Sites or other available information sources, including Strategy’s financial disclosures, but you are solely responsible for verifying and validating any Output generated by the Strategy AI Tools, including in connection with any purchase decisions or in understanding Strategy’s financial condition and results of operations. You further acknowledge that Strategy AI Tools generate responses automatically which may not be subject to human review and may generate responses that are inaccurate and/or incomplete. Additionally, responses may contain forward-looking information that is inherently uncertain and subject to change, including as a result of those factors discussed under “Risk Factors” in Strategy’s periodic reports filed with the U.S. Securities and Exchange Commission (copies of such reports are provided at https://www.strategy.com/financial-documents). Each user of the Strategy AI Tools is solely responsible for any and all of its own AI Content. Because we do not control AI Content, you acknowledge and agree that we are not responsible for any AI Content, whether generated by you or others. We make no guarantees regarding the accuracy, currency, suitability, quality or completness of any AI Content and Strategy does not endorse any AI Content. Users should independently verify any information provided. You agree that Strategy will not be responsible for any loss or damage incurred as the result of your use of any AI Content. In addition, you acknowledge that Strategy may process and use your AI Content to further develop, enhance, and improve the Strategy Sites and other Strategy products and services and the Strategy AI Tools, and you consent to Strategy’s usage therefor.
4. Use Restrictions. The Strategy AI Tools are not intended for, and you acknowledge and agree that you will not use the Strategy AI Tools for, the following (or engage in any activities designed to facilitate the following):
• To generate or distribute any content that is illegal;
• To infringe, misappropriate, or otherwise violate any individual’s or entity’s rights (including, but not limited to rights in copyrighted content) or to generate defamatory content;
• To compromise the privacy rights of others, for example by submitting personal information as input in violation of privacy laws, or to generate personally identifying information for distribution or other harms;
• To generate content that impersonates an individual without explicit disclosure, in order to deceive;
• To track or monitor people without their consent;
• To engage in the illegal or unlicensed practice of any licensed profession including, but not limited to, legal, medical, accounting, or financial professional practices;
• To make automated decisions in domains that affect material or individual rights, safety or well-being (e.g., finance, legal, employment, healthcare, housing, insurance, and social welfare);
• To generate or facilitate the distribution of spam, phishing, or to engage in click-bait activity;
• To generate or distribute content intended to misinform, misrepresent or mislead, including through misrepresentation of AI generated content by claiming content was created by a human, or represent generated content as original works;
• To compromise the security or integrity of the Strategy AI Tools or any other Strategy platform or service;
• To engage in prompt injection or similar activities, or any other attempt to discover the Strategy AI Tools’ or other AI model’s source code or other sensitive data; or
• To engage in “High-risk” activities, as defined under applicable AI legislation (e.g., the EU AI Act and the Colorado AI Act).
5. DISCLAIMERS. You acknowledge and agree that the Strategy AI Tools have not been fully tested. The Strategy AI Tools use experimental technology, and any AI Content may not meet your desired use, including, without limitation, that it may be inaccurate, offensive, or duplicative content generated by the Strategy AI Tools for other Strategy users, and in each case, may provide content that does not represent Strategy’s views. It is your responsibility to use discretion before relying on, publishing or otherwise using the Strategy AI Tools or the AI Content. THE STRATEGY AI TOOLS AND THE AI CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY INDEMNITIES, REPRESENTATIONS OR WARRANTIES OF ANY KIND (WHETHER EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE), INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND MAY BE MODIFIED, DISCONTINUED, OR CANCELLED AT ANY TIME FOR ANY REASON AT THE SOLE DISCRETION OF STRATEGY. STRATEGY DOES NOT MAKE ANY WARRANTIES AS TO THE QUALITY, ACCURACY, APPLICABILITY, SUITABILITY, OR COMPLETENESS OF ANY AI CONTENT OR ANY OTHER INFORMATION OBTAINED THROUGH STRATEGY AI TOOLS.
   YOU UNDERSTAND AND AGREE THAT ANY MATERIAL AND/OR DATA OBTAINED THROUGH THE USE OF STRATEGY AI TOOLS IS DONE AT YOUR SOLE RISK. YOU SHOULD NOT RELY ON FACTUAL ASSERTIONS IN OUTPUT WITHOUT INDEPENDENTLY FACT CHECKING THEIR ACCURACY. OUTPUT THAT APPEAR ACCURATE BECAUSE OF THEIR DETAIL OR SPECIFICITY MAY STILL CONTAIN MATERIAL INACCURACIES. OUTPUT MAY NOT ACCOUNT FOR EVENTS OR CHANGES TO UNDERLYING FACTS OCCURRING AFTER THE DEVELOPMENT OF A STRATEGY AI TOOL. NO INFORMATION OR ADVICE, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM STRATEGY OR THROUGH STRATEGY AI TOOLS SHALL CREATE ANY WARRANTY OF ANY KIND.
6. LIMITED LIABILITY. IN NO EVENT WILL STRATEGY BE LIABLE FOR ANY DIRECT, SPECIAL, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES ARISING UNDER OR IN CONNECTION WITH STRATEGY AI TOOLS OR AI CONTENT OR YOUR USE THEREO, INCLUDING, BUT NOT LIMITED TO, ANY SUCH CLAIMS ARISING FROM FALSE STATEMENTS, OR CLAIMS REGARDING DEFAMATION OR PRODUCT FAILURES OR DEFECTS.
7. Third Party Provider Terms. Strategy AI Tools may contain derivatives of, or incorporate or be integrated with, third-party AI models whose distribution is subject to restrictions. If you choose to use any Strategy AI Tools that are integrated with OpenAI’s tools or models, you agree to comply with OpenAI’s policies regarding use of OpenAI tools or models, including their Usage Policy (provided at https://openai.com/policies/usage-policies/) and Sharing and Publication Policy (provided at https://openai.com/policies/sharing-publication-policy/).
